Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and M2atech Solutions Inc. ("M2atech", "we", "us", "our"), a corporation incorporated under the laws of the Province of New Brunswick, Canada, operating the KidSecure platform. Please read these Terms carefully before using our platform. By creating an account or using KidSecure, you agree to be bound by these Terms. If you do not agree, do not use our platform.

1. Definitions

• "Platform": The KidSecure web application (kidsecure.ca), mobile applications, APIs, and all related services • "Facility": A licensed early learning and childcare facility registered on the Platform • "Facility Operator": The owner or authorized representative who registers a Facility on the Platform and manages its subscription • "Staff": Educators, directors, and administrators invited by a Facility Operator to use the Platform • "Parent": A parent or legal guardian of a child enrolled at a Facility, who accesses the Platform to view their child's information • "User": Any Facility Operator, Staff member, or Parent who accesses the Platform • "Child Data": Any personal information relating to a child entered into the Platform • "Subscription": The paid plan selected by a Facility Operator to access the Platform's features

2. Service Description

KidSecure is a childcare management platform designed for licensed early learning and childcare facilities in Canada. The Platform provides tools for: • Child enrollment and profile management • Attendance tracking (check-in/check-out) • Parent-staff communication (messages, announcements, newsfeed) • Billing and invoicing (including online payment processing via Stripe) • Staff management and scheduling • Nutritional tracking and meal planning • Incident reporting • Ratio compliance monitoring • Tax receipt generation • Reporting and analytics The Platform includes mobile applications available on iOS (App Store) and Android (Google Play). KidSecure is a management tool and does not replace the professional judgment of childcare providers. Facility Operators remain fully responsible for the safety, care, and supervision of children at their facilities.

3. Eligibility and Account Registration

3.1 Eligibility To register a Facility on KidSecure, you must: • Be at least 18 years of age • Be the owner or authorized representative of a licensed childcare facility in Canada • Have the legal authority to bind the Facility to these Terms • Provide accurate and complete registration information 3.2 Account Security You are responsible for: • Maintaining the confidentiality of your login credentials • All activities that occur under your account • Notifying us immediately at support@kidsecure.ca of any unauthorized access or security breach • Ensuring that Staff accounts are deactivated when a staff member leaves the Facility We are not liable for any loss or damage arising from unauthorized use of your account. 3.3 Account Accuracy You agree to provide accurate, current, and complete information during registration and to update such information as necessary. We reserve the right to suspend accounts that contain false or misleading information.

4. Subscriptions and Payments

4.1 Plans and Pricing KidSecure offers multiple subscription plans with varying features and limits. Current pricing is available at kidsecure.ca/pricing. We reserve the right to modify pricing with 30 days' prior written notice to existing subscribers. 4.2 Free Trial New Facility registrations receive a 14-day free trial on the Professional plan. No credit card is required. At the end of the trial, the Facility is automatically downgraded to the Free plan unless a paid subscription is selected. 4.3 Free Plan The Free plan provides limited access to the Platform (up to 10 children, 1 user, 1 room). Data entered during the trial or a paid subscription is not deleted upon downgrade, but access to features beyond the Free plan limits will be restricted. 4.4 Billing • Paid subscriptions are billed monthly or annually, as selected by the Facility Operator • Payments are processed securely by Stripe and are charged to the payment method on file • All prices are in Canadian dollars (CAD) and are subject to applicable taxes (HST/GST/PST) • You are responsible for providing a valid payment method and ensuring sufficient funds 4.5 Failed Payments If a payment fails, we will: 1. Notify you by email 2. Retry the payment according to Stripe's dunning schedule 3. If payment remains unsuccessful, your subscription may be downgraded to the Free plan 4.6 Refunds • Monthly subscriptions: No refunds for partial months • Annual subscriptions: Refunds may be issued on a prorated basis within the first 30 days. After 30 days, no refunds are provided • Refund requests must be sent to support@kidsecure.ca 4.7 Taxes All applicable taxes (including HST) are the responsibility of the Facility Operator and will be added to the subscription price.

5. Parent Payments (Stripe Connect)

5.1 Payment Processing KidSecure facilitates payments from Parents to Facilities through Stripe Connect. When a Facility enables online payments: • Parents pay their childcare invoices through the Platform • Payments are processed by Stripe and deposited into the Facility's connected Stripe account • M2atech is not a party to the financial transaction between the Parent and the Facility • Stripe's terms of service apply to all payment transactions 5.2 Facility Responsibility Facility Operators are solely responsible for: • Setting accurate fees and invoice amounts • Resolving billing disputes with Parents • Issuing refunds to Parents when appropriate • Complying with all applicable tax obligations • Providing tax receipts to Parents for childcare expenses 5.3 No Liability for Payments M2atech does not guarantee the processing of any payment and is not liable for failed transactions, chargebacks, or disputes between Facilities and Parents. Payment processing is subject to Stripe's terms and conditions.

6. Data Ownership and Responsibilities

6.1 Facility Data Ownership The Facility Operator retains ownership of all data entered into the Platform, including Child Data, parent information, attendance records, invoices, and reports. M2atech does not claim ownership of your data. 6.2 License to M2atech By using the Platform, you grant M2atech a limited, non-exclusive license to use, store, process, and display your data solely for the purpose of providing the Platform's services. This license terminates when your account is deleted. 6.3 Facility Operator Responsibilities Facility Operators are responsible for: • Ensuring they have appropriate consent from parents/guardians to enter and manage children's personal information on the Platform • Informing parents that KidSecure is used to manage their child's information • Ensuring the accuracy of information entered into the Platform • Complying with all applicable privacy laws (including PIPEDA) in relation to the information they enter • Managing user access and ensuring only authorized staff have access to the Platform • Complying with all applicable childcare regulations in their province • Obtaining photo consent from parents before uploading children's photos to the Platform 6.4 Data Portability Facility Operators may export their data at any time through the Platform's export features (CSV, PDF). Upon account termination, we will provide a reasonable period (30 days) to export data before deletion.

7. Acceptable Use

7.1 Permitted Use You may use the Platform only for legitimate purposes related to the management of a licensed childcare facility in Canada. 7.2 Prohibited Use You agree NOT to: • Use the Platform for any illegal or unauthorized purpose • Enter false, misleading, or fraudulent information • Share your login credentials with unauthorized persons • Attempt to access another user's account or data without authorization • Reverse engineer, decompile, or disassemble any part of the Platform • Use automated tools (bots, scrapers) to access the Platform • Use the Platform to send spam or unsolicited communications • Upload malicious content (viruses, malware) • Use Child Data for any purpose other than childcare management • Share or distribute photos of children obtained through the Platform outside the Platform without parental consent • Resell or sublicense access to the Platform without our written consent 7.3 Enforcement We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice depending on the severity of the violation.

8. Intellectual Property

8.1 Our Intellectual Property All content on the Platform, including but not limited to software, code, design, text, graphics, logos, the KidSecure name and logo, and documentation, is the property of M2atech Solutions Inc. and is protected by Canadian and international intellectual property laws. 8.2 Limited License We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with these Terms. This license does not include the right to modify, copy, distribute, or create derivative works of the Platform. 8.3 Feedback If you provide suggestions, ideas, or feedback about the Platform, you grant us the right to use such feedback without any obligation to you.

9. Availability and Service Level

9.1 Availability We strive to maintain the Platform's availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to: • Scheduled maintenance (we will provide advance notice when possible) • Emergency maintenance • Circumstances beyond our control (force majeure) 9.2 No Warranty The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. 9.3 Modifications We reserve the right to modify, update, or discontinue any feature of the Platform at any time. For material changes that affect your use, we will provide 30 days' prior notice.

10. Limitation of Liability

10.1 Exclusion of Damages To the maximum extent permitted by law, M2atech Solutions Inc. shall NOT be liable for: • Indirect, incidental, special, consequential, or punitive damages • Loss of data, revenue, profits, or business opportunities • Damages resulting from unauthorized access to your account • Damages resulting from interruption of service • Actions or omissions of third-party service providers (Stripe, Brevo, etc.) 10.2 Maximum Liability Our total liability for any claim arising from or related to these Terms or the Platform shall not exceed the amount you paid to M2atech in the 12 months preceding the claim. 10.3 Essential Purpose Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability. In such cases, our liability is limited to the maximum extent permitted by law. 10.4 No Liability for Childcare M2atech is not a childcare provider. We provide a software tool for childcare management. We are not responsible for the care, safety, or supervision of children. Facility Operators bear full responsibility for all aspects of their childcare operations.

11. Indemnification

You agree to indemnify, defend, and hold harmless M2atech Solutions Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: • Your use of the Platform • Your violation of these Terms • Your violation of any law or third-party rights • Data you enter into the Platform • Disputes between you and Parents, Staff, or other Users

12. Termination

12.1 By You You may terminate your account at any time by: • Contacting us at support@kidsecure.ca • Cancelling your subscription through the Platform settings For paid subscriptions, termination takes effect at the end of the current billing period. No refunds are issued for unused portions of monthly subscriptions. 12.2 By Us We may suspend or terminate your account if: • You violate these Terms • Your payment fails and remains unresolved • We are required to do so by law • We discontinue the Platform (with 90 days' notice) 12.3 Effect of Termination Upon termination: • You will have 30 days to export your data • After 30 days, all data associated with your account will be permanently deleted, except for financial records retained as required by law (7 years) • Any outstanding invoices remain payable

13. Dispute Resolution

13.1 Informal Resolution Before initiating formal proceedings, you agree to contact us at support@kidsecure.ca and attempt to resolve any dispute informally for a period of at least 30 days. 13.2 Governing Law These Terms are governed by and construed in accordance with the laws of the Province of New Brunswick and the federal laws of Canada applicable therein. 13.3 Jurisdiction Any dispute that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Moncton, New Brunswick, Canada.

14. General Provisions

14.1 Entire Agreement These Terms, together with our Privacy Policy (available at kidsecure.ca/privacy), constitute the entire agreement between you and M2atech regarding the use of the Platform. 14.2 Severability If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. 14.3 Waiver Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. 14.4 Assignment You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction. 14.5 Language These Terms are available in English and French. In the event of a conflict between the two versions, the English version shall prevail. 14.6 Force Majeure M2atech shall not be liable for any failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, or third-party service failures.

15. Changes to These Terms

We may update these Terms from time to time. When we make significant changes: • We will notify Facility Operators by email at least 30 days before the changes take effect • We will display a notice on the Platform • We will update the "Last updated" date at the top of these Terms Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you may terminate your account before the changes take effect.
